Professional Referral Partnership Program
Terms and Conditions
Effective Date: June 15, 2026
These Terms and Conditions ("Agreement") govern participation in the Anchored Spaces-NC Professional Referral Partnership Program ("Program"). By participating in the Program, the Partner acknowledges that they have read, understood, and agree to the following terms.
1. Purpose of the Partnership
The purpose of this Program is to establish a professional referral relationship between Anchored Spaces-NC and qualified professionals, including but not limited to therapists, counselors, social workers, wellness coaches, life coaches, behavioral health professionals, healthcare providers, and related professionals.
Anchored Spaces-NC provides environmental wellness consulting and forensic-informed interior design services intended to support emotional well-being through intentional environmental modifications.
Anchored Spaces-NC does not provide psychotherapy, counseling, mental health treatment, diagnosis, crisis intervention, medical services, or any other licensed healthcare services.
2. Independent Business Relationship
Participation in this Program does not create:

An employment relationship
-
A joint venture
-
A partnership under state law
-
An agency relationship
-
Any ownership interest between the parties
Each party remains solely responsible for its own business operations, licensing, insurance, taxes, and legal compliance.
3. Referral Process
Referral Partners may recommend Anchored Spaces-NC services to clients whom they believe may benefit from environmental wellness support.

Clients must independently contact Anchored Spaces-NC and voluntarily consent to services.

Anchored Spaces-NC reserves the right to determine whether a prospective client is appropriate for services.

Anchored Spaces-NC may decline service requests at its sole discretion.
4. Scope of Services
Anchored Spaces-NC services may include:

Environmental wellness assessments
-
Residential Solo Reset Sessions
-
Home environment evaluations
-
Interior design recommendations
-
Environmental stressor identification
-
Organizational support
-
Lifestyle-based environmental wellness guidance
Anchored Spaces-NC does not provide:
-
Mental health counseling
-
Psychotherapy
-
Psychological testing
-
Mental health diagnoses
-
Medical advice
-
Medication management
-
Crisis intervention services
Clients experiencing mental health emergencies should be referred to appropriate emergency services or licensed healthcare providers.
5. HIPAA Compliance and Protected Health Information (PHI)
Anchored Spaces-NC is not a Covered Entity or Business Associate as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA), unless otherwise agreed in writing.
Referral Partners agree:

Not to disclose Protected Health Information (PHI) without appropriate client authorization.

To comply with all applicable federal and state privacy laws.

To obtain any necessary written consent before sharing client information with Anchored Spaces-NC.
Unless specifically authorized by the client through a valid written Release of Information (ROI), Referral Partners shall not disclose:

Medical records
-
Mental health records
-
Diagnostic information
-
Treatment plans
-
Clinical notes
-
Protected Health Information
Anchored Spaces-NC will only receive information voluntarily provided by the client or disclosed through a properly executed authorization.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary business information, client information, and any sensitive information obtained during the course of the partnership.
Neither party shall disclose confidential information without authorization unless required by law.
This obligation survives termination of the partnership.
7. Release of Information Requirements
Should collaborative communication be requested between Anchored Spaces-NC and a licensed professional regarding a shared client, communication may occur only after:

The client provides written authorization;

The authorization clearly identifies all parties involved;
-
The authorization complies with applicable state and federal laws.

Absent written authorization, no client-specific information shall be exchanged.
8. Professional Conduct
Referral Partners agree to:

Maintain all required licenses, certifications, and credentials.
-
Conduct business ethically and professionally.
-
Refrain from misleading representations regarding Anchored Spaces-NC services.
-
Avoid making guarantees regarding client outcomes.
Anchored Spaces-NC agrees to uphold professional standards and provide services consistent with its stated mission and scope of practice.
9. No Guarantee of Results
Environmental wellness outcomes vary based upon numerous factors, including but not limited to:

Client participation
-
Household dynamics
-
Implementation of recommendations
-
Existing environmental conditions
-
Individual circumstances
Anchored Spaces-NC makes no guarantees regarding emotional, psychological, behavioral, or relationship outcomes.
10. Referral Compensation
Anchored Spaces-NC does not provide referral fees, commissions, kickbacks, or financial incentives to licensed healthcare providers or mental health professionals.
Participation in this Program is intended solely for the benefit of clients and community wellness.
Any educational resources, networking opportunities, promotional materials, or recognition provided through the Program shall not be considered compensation.
11. Marketing and Promotional Use
Referral Partners may identify themselves as members of the Anchored Spaces-NC Professional Referral Network.
Neither party may use the other's logo, trademarks, marketing materials, or business name without prior written consent.
12. Liability Limitation
To the fullest extent permitted by law, Anchored Spaces-NC shall not be liable for:

Clinical outcomes
-
Treatment decisions
-
Healthcare services provided by Referral Partners
-
Indirect damages
-
Consequential damages
-
Lost income
-
Emotional distress claims
Each party remains responsible for its own professional services.
13. Indemnification
Each party agrees to indemnify and hold harmless the other party from claims, damages, liabilities, losses, expenses, or legal fees arising from:

Negligence
-
Misconduct
-
Violation of laws
-
Professional malpractice
-
Breach of this Agreement
14. Insurance
Referral Partners are encouraged to maintain appropriate professional liability insurance and any other coverage required by law.
Anchored Spaces-NC maintains business insurance appropriate to its operations.
15. Termination
Either party may terminate participation in the Program at any time with written notice.
Anchored Spaces-NC reserves the right to remove any Referral Partner from the Program for:

Unprofessional conduct
-
Misrepresentation
-
Violation of these Terms
-
Ethical concerns
-
Legal compliance issues
Termination shall not affect obligations related to confidentiality, HIPAA compliance, indemnification, or liability limitations.
16. Force Majeure
Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including but not limited to:

Natural disasters
-
Severe weather
-
Government actions
-
Pandemics
-
Public emergencies
-
Utility interruptions
-
Acts of God
17. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina.
Any disputes arising under this Agreement shall be resolved in the appropriate courts located within North Carolina.
18. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding participation in the Professional Referral Partnership Program and supersedes all prior discussions, agreements, or representations.
